1. Infrastructure

We provided the following services to a very substantial Malaysian group:

1. source target projects;
2. advise on and assist in commercial and contractual negotiations, deal structure and formulation of exit strategies;
3. “hand-holding” in establishing the project JV inside China;
4. advise on and assist in the setting-up of corporate governance systems in the project JV company; and
5. provide interim management in the project JV company while assisting in the appointment of the local management team.

The first successful project with this client is a 30-year exclusive BOT water supply plant project in Hebei Province.  Resulting from this, our services are now extended to cover 2 other water supply projects, one in Nanjing and the other in Hainan Island.

2.Technology based, environmentally friendly manufacturing

Our client is a Japanese company which has patented technology in manufacturing, utilising environmentally friendly raw materials.  The manufacturing base is established in Hunan Province, with sales currently mainly in Japan and Korea.

Our services provided include:

1. review and advise on the development of a suitable business plan based on a “re-focused” business strategy;
2. review and advise on modification of the corporate structure both inside and outside of China, to cater for expansion and co-operation with foreign entities; and
3. “hand-holding” and advise on the formation of strategic alliance with other value-adding organisations.

Utilising the revised corporate structure, the client has now formed an alliance with another manufacturing company in China with complementary skill sets and formed a multi-billion Yen JV with an internationally renowned Japanese hi-tech manufacturer to produce consumer audio products.

Our services are now enhanced to assist in the company’s equity and debt capital planning as well as the formulation of proactive strategies in paving the way for ultimate IPO in an opportune time in the future.

3. Professional Education

Our client is a reputable university in Australia who has a plan to provide the necessary language and professional training to medical nurses in China, leading to attaining the necessary qualification to practice as Registered Nurses in Australia and other selected commonwealth countries.

Our services provided include:

1. advise on the suitability and feasibility of the business structure to be adopted;
2. assist in the identification and selection of strategic partners inside China for the purpose; and
3. advise on the formulation of the suitable financing model and the appropriate system to manage policy risks and credit risks.

Our client is a Malaysian group who is trying to establish a bio-diesel production and distribution base in China.

Our services provided include:

1. advise on the step-by-step process for Project Establishment, including site selection;
2. “hand-holding” advice on the management of policy risks; and
3. assisting in the establishment of the essential relationship necessary for such an investment.

5. Bio-technology

Our client is a research-based bio-pharmaceutical company in China which has obtained SFDA approval for its own medical product after some 10 years’ R&D.  It has also obtained the necessary licence to produce the product in China.

Our services provided include:

1. advise on the business strategy moving forward, and review and advise on the business plan in line with the business strategy adopted;
2. assist in the identification and selection of foreign value-adding partners to complement the expansion programme; and
3. advise on and assist in the restructuring and enlargement of both the company’s equity and debt capital base to cater for planned production and expansion.

6. Opto-electronics

Our client is a Chinese company with 4 manufacturing facilities in Zhejiang Province and in Shenzhen, specialising in the design and manufacturing of backlight and opto-electronic products which are typically used in electronic devices such as mobile phone and PC display panels, as well as in TV walls.  These products are sold to Japan, USA, Europe and in China.

Our services provided include:

1. advise on and assist in the modification of corporate structure to prepare for suitable formation of JVs or strategic alliances with selected foreign value-adding partners; and
2. advise on and assist in the restructuring and enlargement of both the company’s equity and debt capital base to cater for rapid expansion needs by customer driven demand.

7. Energy Consulting

Our client is a U.K. based international oil and gas research and consulting company which sells research analyses and intelligence to oil companies.  Having set up its Beijing office for more than 2 years it hired Sino Era to help review its repositioning and growth strategy in China.  Sino Era help conducted a strategic review workshop for its top executives from its global head office and from China.

8. Sports Fashion

Our client is a major sports fashion clothing brand in China whose business has drastically declined ever since SARS broke out.  It has commissioned Sino Era to assist in formulating a revival business plan and sourcing of financial and strategic investor for executing the plan.
